Free zone Company Formation in Oman

Foreign investors can own 100% of a company in Oman’s free zones. No local partner, no sponsor taking a share. For many founders that single fact settles the debate.

Free zone company formation in Oman is not one process, though. Each zone has its own authority, its own licence categories and its own preferred industries. Pick the one that fits your activity and the first year goes quietly. Pick the wrong one and you spend months fixing it.

Benefits

What Are the Benefits of Oman Free Zone Company Formation?

The ownership rule gets the attention, but it is only the start. Free zones are built around trade and industry, so the infrastructure is already there when you arrive: ports, utilities, warehousing and a licensing office that deals with investors every day.

Committed investment across Oman’s economic, free and industrial zones has now passed OMR 22.4 billion. Money at that scale pulls in suppliers, logistics firms and skilled workers, which makes life easier for anyone arriving next.

The practical gains look like this:

Full foreign ownership without a local partner
Customs relief on goods moving through the zone
Tax incentives written into the free zone laws, with terms that differ by zone and activity
A one-stop office for registration, licensing and approvals
Direct access to deep-water ports at Sohar, Salalah and Duqm
Some zones, Salalah among them, set no minimum capital
A company that can sponsor an investor visa and staff visas

One caution. Incentive periods and conditions are not identical everywhere, and they change when the rules change. Oman issued a new Special Economic Zones and Free Zones law under Royal Decree 38/2025, so we check the current terms for your activity before you commit.

Our Zones

Oman Free Zones We Set Up Companies In

Four zones account for most of our free zone work. They are very different places.

Duqm Special Economic Zone 01

Duqm Free Zone Company Setup Oman

Duqm sits on the Arabian Sea coast in Al Wusta and is run as a Special Economic Zone. It has a deep-water port, a dry dock, an airport and plenty of space, which is why heavy industry keeps choosing it.

Green energy is the current story. A wind turbine project worth OMR 70 million has been signed there, and the ACME green hydrogen and ammonia development covers 80 square kilometres, with each phase expected to produce 71,000 tonnes of green hydrogen a year.

Best for

Duqm suits energy, industrial manufacturing, marine services and large-scale logistics. If you need a big footprint and long-term room to grow, start here.

Khazaen Economic City 02

Khazaen Free Zone Company Setup Oman

Khazaen Economic City posted the fastest growth in added investment of any Omani zone, about 63%. Four recent agreements worth more than RO 12.8 million cover manufacturing and pharmaceutical projects.

It is also much closer to Muscat than Duqm or Salalah, so your team, suppliers and customers stay within easy reach of the capital.

Best for

Pharmaceutical and light to mid-scale manufacturers should look hard at Khazaen. It is still early in its life, which means space and attention are easier to get than in older zones.

Sohar Freezone 03

Sohar Free Zone Company Setup Oman

Sohar Free Zone is attached to one of Oman’s busiest industrial ports and is operated by Sohar Free Zone Company. Metals, petrochemicals and logistics operators already work around the port.

A new solar manufacturing project there targets 6 GW of solar cells and 3 GW of modules a year, so a supplier ecosystem is forming around it. Sohar also lies close to the UAE border, which matters if your goods move between the two countries.

Best for

Choose Sohar for trading, logistics, processing and renewable-energy supply chains.

Salalah Free Zone 04

Salalah Free Zone Company Setup Oman

Salalah, in Dhofar, combines a container port with an international airport. It took the largest share of new investment in the country, 28%, and active projects there are worth around RO 4.5 billion. About 93% of that is industrial.

The Free Zones Law sets no minimum capital for Salalah companies, which helps SMEs and startups. Land and facilities are leased, not sold, and an on-site one-stop service handles registration and approvals.

Best for

Salalah works well for export-focused manufacturers and logistics businesses serving East Africa and South Asia.

Structures

Which Business Structures Can Be Incorporated in Oman Free Zones?

Three structures cover most cases.

Free Zone Establishment

FZE

A Free Zone Establishment (FZE) has a single owner. Individual investors and one-person ventures usually choose it.

Free Zone Company

FZC

A Free Zone Company (FZC), a limited liability form, has one or more shareholders. Co-founders and corporate joint ventures fit here.

Branch

Branch

A branch lets an existing local or foreign company operate inside the zone under its own name. Salalah, for example, allows a zone entity to be an establishment, a company or a branch.

Licences

Licences matter as much as structure. Zones issue them by activity: industrial, logistics and trading, or services. A services licence normally covers only the services named on it. Check this early, because the wrong licence category is one of the most common reasons an application stalls.

Selling into the mainland

Selling into the Omani mainland from a free zone is a separate question. The answer depends on the zone and the activity, so settle it before you sign a lease.

Cost

What Is the Oman Free Zone Company Setup Cost?

There is no honest single figure. Online estimates run from a few thousand rials to tens of thousands, because each source counts different things.

Facility costs usually make the biggest difference, and they depend on size and location. A desk in a shared office and a leased warehouse sit at opposite ends of the budget.

What you will actually pay for:

Zone registration and incorporation fees
The annual licence fee, which renews every year
Lease of land, a warehouse or an office inside the zone
Commercial register and Oman Chamber membership fees
Utilities, security and maintenance charges
Visa, medical and residency card costs for you and your staff
Bank account opening costs
Professional fees for drafting, attestation and filing

When we quote, we split the numbers into year one and year two onward. Renewals are where surprises hide, so we put them in writing at the start.

Documents

Which Documents Are Required for Oman Free Zone Company Formation?

Requirements shift slightly with the zone and activity, but the core set is predictable.

If the shareholder is an individual:

Passport copy, valid for at least six months
Recent passport-style photograph
Proof of residential address
A short description of your business activity and facility needs

If the shareholder is a company:

Certificate of incorporation
Memorandum and articles of association
Certificate of good standing
Board resolution approving the investment and naming a signatory
Passport copies of directors and ultimate owners

Foreign corporate documents usually need notarisation and attestation before Oman will accept them. That chain takes longer than people expect, so start it before anything else. We run the sequence for clients.

Process

What Are the Steps for Company Formation in Oman Free Zones?

01

Choose the zone and activity.

This decides everything that follows.

02

Submit an investor enquiry.

The zone reviews your project and gives initial approval.

03

Fix the structure and company name.

04

File the registration application with your documents.

05

Obtain the licences and approvals your activity needs.

06

Lease your facility and sign the agreement.

07

Receive your licence and registration.

Digilaunch

How Digilaunch Can Help

We start by asking what you plan to sell and where. Sometimes the answer points to Salalah, sometimes to Khazaen, and now and then it points away from free zones altogether. If a mainland company suits you better, we say so.

After that we take over the heavy parts: comparing zones, choosing the structure, preparing and attesting documents, filing the application and coordinating the lease. Once the licence arrives we continue with corporate bank account opening, investor and family visas, PRO services, VAT registration and accounting.

You get one team, one timeline and clear costs from the first conversation. For free zone company formation in Oman, that is usually what separates a smooth launch from a stalled one.

Clear Answers

Frequently Asked Questions

1. Can a foreigner own 100% of a free zone company in Oman?

Yes. Free zones allow full foreign ownership for qualifying activities, with no local partner or sponsor.

2. Do I need to be in Oman to set up the company?

Most of the process runs remotely. An investor visa does need a short trip to Muscat for biometrics and a medical test.

3. How long does free zone company formation in Oman take?

Usually a few weeks once your documents are complete. Attestation delays and activity-specific approvals are the usual causes of longer waits.

4. Is there a minimum capital requirement?

It depends on the zone. Salalah sets none under its Free Zones Law. For the others, we confirm current requirements before you file.

5. Can a free zone company trade in the Omani mainland?

That depends on the zone and the activity. It is worth settling before you choose a licence.

6. Free zone or mainland, which is better?

Export, manufacturing and logistics businesses often do better in a free zone. Businesses selling mainly to Omani customers or bidding for local contracts often fit the mainland better.

7. Will I be able to open a bank account?

Yes, but banks ask detailed questions about foreign-owned companies. Plan the banking application alongside the licence, not after it.
